TERMS AND CONDITIONS OF SERVICE

1. ACCEPTANCE OF TERMS
By engaging Time Pause Studio ("we," "us," "our," or "the Studio") for photography/videography services, making a booking, paying a deposit, or signing a service agreement, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions. These terms constitute a binding legal agreement between the Client and Time Pause Studio.
If you do not agree to these terms, please do not book our services.
2. SERVICES PROVIDED
2.1 Scope of Services
We provide professional photography and videography services including but not limited to:

Event photography (weddings, corporate events, private functions)

Candid and traditional photography/videography
-
Post-production editing and color correction
-
Digital photo/video delivery
-
Photo album design and printing
-
Video editing and highlight reels
2.2 Service Limitations
-
Only services explicitly described in your signed Proposal/Quotation are included in the quoted price
-
Any additional services, modifications, or work beyond the original scope will be subject to additional charges
-
A revised proposal with updated costs must be agreed upon in writing before any additional work commences
-
The Studio reserves the right to decline additional service requests that exceed our capacity or expertise
3. BOOKING AND CONFIRMATION
3.1 Reservation Process
Your booking is confirmed only when:
-
A signed service agreement/proposal is received by the Studio, OR
-
The non-refundable booking fee (40% of total cost) has been successfully processed
3.2 Date Availability
-
Dates are held tentatively for a maximum of 7 days pending receipt of booking fee
-
Multiple clients may inquire about the same date; priority is given to the first confirmed booking
-
We recommend booking at least 3-6 months in advance for wedding events
3.3 Proposal Validity
All quoted prices are valid for ninety (30) days from the proposal date. After this period, prices may be revised to reflect market changes, and a new proposal will be issued if requested.
4. PAYMENT TERMS
4.1 Payment Schedule
The total service fee shall be paid as follows:

40% Booking Fee: Due at time of booking (non-refundable)
-
40% Event Payment: Due one day before the event date
-
20% Final Payment: Due before delivery of final deliverables (Deliverables will be processed only after the completion of full payment)
4.2 Payment Methods
-
We accept bank transfers, UPI, credit/debit cards, and cash payments
-
All online payment gateway fees are to be borne by the Client
-
All EMI fee such as Interest , processing fee and any other charges related to EMI are to be borne by the client
-
Payments made by cheque must clear at least 10 business days before the event date
4.3 Late Payment
-
Deliverables will not be released until full payment is received
-
Late payments may incur additional interest charges of 2% per month starts from 100th day from event date.
-
Unpaid balances over 100 days from event date may be subject to legal collection proceedings
4.4 Currency and Taxes
-
All prices are quoted in Indian Rupees (INR)
-
GST or applicable taxes will be added to the quoted price as per Indian tax law
-
An official tax invoice will be provided for all transactions
5. CANCELLATION, POSTPONEMENT, AND LIQUIDATED DAMAGES
BINDING AGREEMENT AND LIQUIDATED DAMAGES NOTICE
This is a legally binding contract. By booking our services, you
enter into a firm commitment. The cancellation fees specified
herein are liquidated damages under Section 74 of the Indian
Contract Act, 1872—they represent genuine pre-estimates of our
financial losses from cancelled bookings, not penalties.
Courts in India routinely uphold reasonable liquidated damages
clauses in commercial contracts. You acknowledge that these
amounts are fair, reasonable, and agreed upon freely without
coercion.
If you are uncertain about your event plans, we recommend:
1. Postponing your booking until dates are confirmed
2. Purchasing event cancellation insurance
3. Choosing a lower package initially (you can upgrade later)
5.1 Understanding the Booking Contract
When you confirm a booking with Time Pause Studio, we:
• Decline other inquiries for your event date
• Reserve our team and equipment exclusively for you
• Begin pre-production planning and coordination
• Forego other business opportunities
Therefore, cancellations result in direct financial loss to our business.
The fees outlined below represent genuine pre-estimated liquidated damages,
not penalties.
5.2 Booking Fee - Non-Refundable Deposit
• The 40% booking fee is NON-REFUNDABLE under all circumstances once paid
• This fee reserves your date exclusively and compensates for initial
planning and opportunity cost
• This applies regardless of cancellation reason (including force majeure,
change of plans, venue changes, or personal circumstances)
• No exceptions will be made to this policy
5.3 Client-Initiated Cancellation
If you cancel your booking, the following liquidated damages apply:
A) Cancellation 90 or more days before event:
• 40% booking fee is forfeited (non-refundable)
• Any additional payments already made will be refunded within 30 days
• No further payment obligations
B) Cancellation 60-89 days before event:
• 40% booking fee is forfeited (non-refundable)
• Any additional payments already made will be retained
• Client shall pay an additional 20% of total package cost as
liquidated damages within 15 days of cancellation notice
• Total liability: 60% of package cost
C) Cancellation 30-59 days before event:
• 40% booking fee is forfeited (non-refundable)
• Any additional payments already made will be retained
• Client shall pay an additional 40% of total package cost as
liquidated damages within 15 days of cancellation notice
• Total liability: 80% of package cost
D) Cancellation less than 30 days before event:
• All amounts paid are forfeited (non-refundable)
• Client shall pay 100% of total package cost immediately
• At this stage, it is impossible for us to book alternative clients
• Total liability: 100% of package cost
5.4 Payment of Liquidated Damages
• Liquidated damages (beyond already-paid amounts) must be paid within
15 days of cancellation notice
• Failure to pay will result in:
- Legal collection proceedings
- Additional interest at 2% per month after 15 days from cancellation date
- Recovery of legal fees and collection costs
- Negative impact on future bookings with our studio
5.5 Postponement (Subject to Availability)
• Postponement with 90+ days notice: Booking fee transfers to new date
(subject to our availability; no refund if we're unavailable)
• Postponement with 60-89 days notice: Additional 10% rescheduling fee
applies; booking fee transfers (subject to availability)
• Postponement with less than 60 days notice: Treated as cancellation
per Section 5.3
• Maximum one (1) postponement allowed per booking
• New date must be within 12 months of original date
• If postponed date is subsequently cancelled, full cancellation terms apply
5.6 Studio-Initiated Cancellation
If Time Pause Studio must cancel due to circumstances within our control:
• Full refund of all payments made within 7 business days
• Assistance in locating alternative photographers (if available)
• Studio liability limited to amount paid; no consequential damages
5.7 Force Majeure (See Section 12 for details)
• Natural disasters, pandemics, government restrictions, etc.
• If event is cancelled due to force majeure affecting the venue/client:
- Booking fee is non-refundable (covers our costs and lost opportunities)
- Additional payments will be refunded or credited toward rescheduled date
• If Studio cannot perform due to force majeure:
- Full refund provided
- We will attempt to arrange substitute photographer
5.8 No-Show or Event Cancellation on Event Day
• If client cancels on the event day or fails to provide venue access:
- 100% of package cost is due immediately (no refund of any kind)
- This includes situations where the event is called off last-minute
5.9 Acknowledgment
By booking our services, you acknowledge that:
• You understand these cancellation terms before making payment
• The liquidated damages reflect genuine business losses
• These are not penalties but reasonable compensation for lost opportunities
• Cancellation for any reason (personal, medical, financial) does not
waive payment obligations
6. TRAVEL AND ACCOMMODATION
6.1 Travel Charges

Events within Hosur city limits: No additional travel charges
-
Events outside Hosur: ₹15 per kilometer (round trip) inclusive of tolls and fuel
-
Distance calculated from our studio location to event venue via standard route
-
Air travel (if required): Full reimbursement of actual flight costs with receipts
6.2 Transportation
-
Mode of transport is at the sole discretion of Time Pause Studio
-
Travel charges must be paid in full on or before the event date
-
For multi-day events, daily travel charges apply
6.3 Accommodation Requirements
-
For events requiring overnight stays or located more than 100km from Hosur, the Client must arrange decent accommodation for the Studio team
-
Accommodation details must be confirmed via email/WhatsApp at least 48 hours before the event
-
Accommodation should include: private rooms with attached bathrooms, secure storage for equipment, and meals
-
If adequate accommodation is not provided, the Studio reserves the right to book accommodation at Client's expense
7. CLIENT RESPONSIBILITIES
7.1 Cooperation and Coordination

The Client agrees to cooperate fully with the Studio to achieve optimal results
-
The Client shall designate one (1) primary point of contact who has decision-making authority and will coordinate with family/guests and the Studio team during the event
-
The Client must provide a detailed event timeline/schedule at least 7 days before the event
-
The Client should provide a list of must-have shots/moments at least 7 days before the event
7.2 Vendor Coordination
-
The Client is responsible for informing other vendors (venue, decorator, caterer) about the Studio's presence and requirements
-
The Studio requires access to necessary areas (getting-ready rooms, ceremony venue, reception area) for optimal coverage
-
Any venue restrictions on photography/videography must be communicated to the Studio at least 14 days in advance
7.3 Guest Management

The Client is responsible for informing guests about the photography/videography services
-
The Studio is not liable for guests who refuse to be photographed or who obstruct the photography process
-
The Client agrees to ensure that guests do not interfere with the Studio's equipment or workspace
8. DELIVERABLES AND TIMELINES
8.1 Raw Files/Footage
-
All raw footage shot at the event will be shared in viewable and editable formats
-
Delivery timeline: Within 10 business days after the event AND receipt of all outstanding payments
-
Format: Cloud-based sharing link (Google Drive/Dropbox) valid for 30 days
-
Raw files are provided as-is without editing or color correction
8.2 Edited Photographs
-
Final edited photographs will be delivered within 30 calendar days after the event AND receipt of all outstanding payments
-
Photo selection for editing is at the discretion of our creative editors based on technical quality and artistic merit
-
Approximate delivery: 300-500 edited images for full-day wedding coverage (actual count may vary based on event duration and coverage)
-
Format: High-resolution JPEG files via downloadable link
8.3 Video Deliverables
-
Song Selection: Client must provide preferred song list before or within 3 days after the event; otherwise, the Studio will select appropriate music
-
Video Duration: Determined by our editors based on event flow and content (typically 3-8 minutes for highlights, 20-180 minutes for full feature videos)
-
Delivery Timeline: Within 45-60 calendar days after the event AND receipt of all outstanding payments
-
Revisions: One (1) round of revisions included; must be requested within 7 days of video delivery
-
Revision Request Format: All changes must be submitted together via WhatsApp/email with specific timestamps and detailed descriptions
-
Digital Delivery via Cloud: The video will be initially shared with you through a cloud service.
-
Private YouTube Access: A private link will be provided to a video on the studio's official YouTube channel, accessible for 30 days from the delivery date.
-
Physical Collection Required: It is your responsibility to collect the original video file directly from the studio using your own storage device (pendrive or hard disk).
-
No Physical Media Provided: The studio will not provide any physical media such as CDs, DVDs, pendrives, or hard disks.
8.4 Photo Albums/Printed Products

Client must provide album photo selection list within 90 days of the event
-
Failure to provide selection within 90 days will incur additional design charges of ₹2,000-5,000 (depending on album size) and may delay delivery
-
Album design layout will be sent for review within 60 days of receiving Client's selection
-
Client must provide feedback within 7 days of receiving the layout
-
One (1) complimentary revision of album design included
-
Additional revisions or design changes: ₹1,000-3,000 per revision
-
No revisions accepted after album printing has commenced
-
Additional album copies: Charged at applicable rates (70% of original album cost per additional copy)
-
Printed album delivery: 30-45 days after final design approval
8.5 Delivery Extensions
Delivery timelines may be extended due to:
-
Force majeure events (see Section 12)
-
Technical failures beyond the Studio's control
-
Incomplete payment by Client
-
Delayed album photo selection by Client
-
Unusually large events requiring extended post-production
The Client will be notified promptly of any delays with revised timelines.
9. COPYRIGHT AND USAGE RIGHTS
9.1 Copyright Ownership

All photographs, videos, and creative content produced by Time Pause Studio remain our exclusive intellectual property
-
Copyright ownership includes but is not limited to: reproduction rights, distribution rights, display rights, and derivative work rights
-
The Studio retains copyright in perpetuity
9.2 Client Usage License
Upon full payment, the Client receives a non-exclusive, non-transferable, perpetual license to:
-
Use photographs/videos for personal, non-commercial purposes
-
Share on personal social media accounts
-
Print for personal use and distribution to family/friends
-
Display in personal residence
9.3 Prohibited Uses
The Client may NOT:
-
Sell, license, or commercially exploit the photographs/videos
-
Alter, crop, or edit the images in a way that misrepresents the Studio's work
-
Remove watermarks, metadata, or copyright information
-
Use images for advertising, promotional, or commercial purposes without written permission
-
Transfer usage rights to third parties
9.4 Studio Usage Rights
The Studio reserves the right to:
-
Use any photographs/videos for portfolio, website, social media, marketing materials, and promotional purposes
-
Submit images to photography competitions, publications, and exhibitions
-
Display images in our physical studio location
-
Use images for educational purposes (workshops, tutorials)
9.5 Opt-Out Option
If the Client wishes to restrict the Studio's promotional use of their images, a "Privacy Package" fee of 30% of the total service cost applies. This must be requested and paid before the event date.
10. EDITING AND CREATIVE CONTROL
10.1 Creative Decisions

All creative decisions regarding photographic style, editing, color correction, and final image selection remain with the Studio

The Studio delivers images that reflect our artistic vision and professional standards
-
While we consider Client preferences, the final creative output is at our discretion
10.2 Image Selection
-
The Studio will select and deliver images based on technical quality (focus, exposure, composition) and artistic merit
-
Not all captured images will be edited or delivered (typical delivery: 60-80% of total captures)
-
Out-of-focus, poorly exposed, duplicate, or unflattering images will be excluded from final delivery
10.3 Editing Style
-
Editing reflects the Studio's signature style (natural tones with artistic enhancement)
-
Custom editing requests (e.g., specific filters, vintage effects) must be discussed during booking and may incur additional charges
-
The Studio does not provide unedited, raw, original files except as specified in Section 8.1
10.4 Revision Limits
-
Photographs: No revisions after delivery (selection is final)
-
Videos: One complimentary revision round before delivery (changes must be submitted within 7 days)
-
Albums: One complimentary design revision before delivery (changes must be submitted within 7 days)
-
Additional revisions: Subject to availability and additional fees
11. LIMITATION OF LIABILITY
11.1 Service Availability
While we take every precaution to ensure service delivery, the Studio is not liable for:

Equipment failure or malfunction (backup equipment is always available)
-
Acts of God, natural disasters, or force majeure events
-
Venue restrictions that prevent optimal photography
-
Adverse weather conditions affecting outdoor photography
-
Third-party vendor failures (power outages, venue issues)
11.2 Backup and Data Loss
-
The Studio maintains redundant backup systems for all data
-
Despite best efforts, the Studio is not liable for catastrophic data loss due to:
-
Computer hardware failure
-
Natural disasters destroying multiple backup locations
-
Cyber attacks or data corruption
-
-
Maximum liability for data loss: Full refund of amounts paid except the labour charges paid to the artist, assistants and any other fee spend (no consequential damages). This full refund will be subjected only if the data loss occured within 15 days from the event date.
11.3 Image/Video Quality

The Studio cannot guarantee specific shots if circumstances prevent capture (e.g., key moments happening simultaneously, venue restrictions, guest obstructions)
-
Low-light conditions may affect image quality despite professional equipment
-
The Studio is not responsible for unflattering images of individuals (subject positioning, facial expressions are beyond our control)
11.4 Damage to Client Property
Except in cases of gross negligence or willful misconduct, the Studio’s total liability for any property damage arising during the performance of services is capped at ₹10,000 or 50% of the depreciated value of the damaged item, whichever is lower. The Client is encouraged to maintain independent Property Insurance for high-value items or venues.
11.5 Maximum Liability
In no event shall the Studio's total liability exceed the total amount paid by the Client for services under this agreement. The Studio is not liable for any indirect, incidental, consequential, or punitive damages.
12. FORCE MAJEURE
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

Natural disasters (earthquakes, floods, cyclones, pandemics)
-
Government actions, regulations, or restrictions
-
War, terrorism, civil unrest
-
Strikes or labor disputes
-
Sudden illness or injury of Studio personnel
In such events:
-
The Studio will make reasonable efforts to find a substitute photographer
-
If substitution is impossible, full refund of payments made will be provided
-
Neither party shall have further liability beyond the refund amount
13. PRIVACY AND DATA PROTECTION
13.1 Personal Information

The Studio collects and stores Client contact information, event details, and payment information
-
Data is used solely for service delivery, communication, and record-keeping
-
Personal information will not be sold or shared with third parties (except payment processors and service providers)
13.2 Data Security
-
The Studio implements reasonable security measures to protect Client data
-
Data retention: Minimum 5 years for tax/legal compliance; raw files retained for 1 year post-delivery
13.3 Third-Party Sharing
Client information may be shared with:
-
Payment processors (for transaction processing)
-
Cloud storage providers (for file backup and delivery)
-
Legal authorities (if required by law)
14. VENUE AND LOCATION RESTRICTIONS
14.1 Advance Notice
The Client must inform the Studio of any venue restrictions at least 14 days before the event, including:

Photography/videography restrictions or blackout periods
-
Required insurance certificates or permits
-
Restricted areas or off-limits locations
-
Drone usage prohibitions
-
Flash photography restrictions
14.2 Venue Compliance

The Studio will comply with all reasonable venue rules
-
If venue restrictions prevent adequate coverage, the Studio is not liable for missed shots
-
Additional fees may apply if special permits or insurance certificates are required
15. INDEPENDENT CONTRACTOR RELATIONSHIP
The Studio operates as an independent contractor. Nothing in this agreement creates an employment, partnership, or agency relationship between the Client and the Studio.
16. DISPUTE RESOLUTION
16.1 Informal Resolution
Both parties agree to first attempt informal resolution through good-faith negotiation before pursuing legal action.
16.2 Mediation
If informal resolution fails, both parties agree to submit the dispute to mediation with a neutral third-party mediator (costs split equally).
16.3 Jurisdiction and Governing Law
This agreement is governed by the laws of India. Any legal proceedings shall be conducted exclusively in the courts of Krishnagiri District, Tamil Nadu, India.
16.4 Severability
If any provision of these terms is found unenforceable, the remaining provisions remain in full effect.
17. MODIFICATIONS TO TERMS
17.1 Updates
The Studio reserves the right to update these Terms and Conditions at any time. Updated terms will be posted on our website with an "Effective Date."
17.2 Notification
Material changes will be communicated to existing Clients via email at least 30 days before taking effect.
17.3 Continued Service
Continued use of our services after terms are updated constitutes acceptance of the new terms.
18. ENTIRE AGREEMENT AND CLIENT ACKNOWLEDGMENT
18.1 Complete Agreement
These Terms and Conditions, along with your booking confirmation
and proposal/quotation, form the complete legal agreement between
you and Time Pause Studio (Knatra). This agreement replaces any
prior verbal or written discussions.
18.2 Your Responsibility to Read
IT IS YOUR SOLE RESPONSIBILITY to read, understand, and agree to
these terms BEFORE making any payment or booking our services.
By booking or making payment, you confirm that you:
✓ Have read these Terms and Conditions completely
✓ Understand the cancellation, payment, and refund policies
✓ Agree to all terms without exception
✓ Accept that "I didn't read it" is not a valid defense
18.3 How You Accept These Terms
You legally accept these terms by:
• Checking the "I agree" box on our booking form
• Making any payment to Time Pause Studio
• Responding to our proposal with acceptance
• Allowing us to provide services on your event date
No physical signature is required. These actions create a binding
legal contract.
18.4 Terms Cannot Be Changed Verbally
These terms can only be modified in writing (email accepted) with
agreement from both parties. Verbal discussions or promises do not
override these written terms.

ACKNOWLEDGMENT AND ACCEPTANCE
By submitting a booking inquiry, making a payment, or signing a service agreement with Time Pause Studio, you confirm that you have read, understood, and agree to these Terms and Conditions.
